Terms of Service

These terms are a contract between you (the business that opens a Goiaba account, "you" or "the Operator") and Wave Horizon Solutions Ltd, a company registered in England and Wales under number 15529395 with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom, trading as Goiaba ("Goiaba", "we"). By creating an account or using the service you accept them. If you open the account for a company, you confirm you may bind that company.

1. The service

Goiaba is software that lets you publish a booking website, take bookings and payments from your customers, and manage those bookings. We provide the software; you run the tours. Goiaba is not a party to the contract between you and your customers, is not a travel agent or tour operator, and does not sell, insure or deliver any activity.

2. Accounts and trial

  • You must give accurate business and contact details and keep them current.
  • New accounts start with a free trial of the length shown at signup. No payment method is required for the trial. When it ends, access to the admin area pauses until you subscribe; your data and your public site are kept.
  • You are responsible for everyone you invite to your account and for keeping passwords private.

3. Subscriptions and payment

  • Plans, prices and limits are those published on goiaba.net when you subscribe. Prices include VAT where it applies.
  • Subscriptions renew automatically, monthly or annually, until cancelled. Payments are processed by Stripe; we do not store card numbers.
  • You can upgrade, downgrade or cancel at any time from the billing page. Cancellation takes effect at the end of the paid period. Fees already paid are not refunded, except where the law says otherwise.
  • If a payment fails we retry and email you. If it keeps failing, admin access pauses until it is settled.
  • We may change prices with at least 30 days' notice by email; the new price applies from your next renewal after that.

4. Customer payments

Payments from your customers are taken through your own Stripe, PayPal or Revolut account, or in cash and by other methods you choose to offer. That money never passes through Goiaba, and Goiaba takes no commission on it. The payment provider's fees and terms apply to you directly. Refunds, chargebacks and disputes with your customers are yours to resolve; Goiaba gives you the tools to issue refunds but does not decide them.

5. Your content and your customers' data

  • You own the content you put into Goiaba (tours, photos, texts, prices) and the data of your customers. You give us the licence needed to host, display and process it in order to run the service.
  • You are the data controller for your customers' personal data; Goiaba processes it on your instructions as a processor, as described in our Privacy Policy. You are responsible for having a lawful basis to collect it and for your own privacy notice.
  • You must hold the rights to any photos and texts you publish and must not publish unlawful, misleading or infringing content.

6. Acceptable use

You must not use Goiaba to sell anything illegal, to send spam, to attack or probe the service, to resell the software, or to interfere with other operators' sites. We may suspend an account immediately for abuse, fraud or a serious security risk, and will tell you why.

7. Availability and support

We aim to keep the service available at all times but do not promise uninterrupted operation. We take daily backups. Support is by email; response targets depend on your plan. We may change or retire features with reasonable notice when the change affects how you take bookings.

8. Ending the agreement

You can close your account at any time. We can end the agreement with 30 days' notice, or immediately for a serious breach. After closure your public site goes offline and, after 90 days, we delete your data, except what we must keep for tax and legal reasons. You can export your bookings and customers from the admin at any time before then.

9. Liability

Goiaba is provided as software; we do not guarantee any level of bookings or revenue. To the extent the law allows, our total liability to you for any claim in a year is limited to the fees you paid us in the twelve months before the claim, and we are not liable for lost profits or indirect losses. Nothing in these terms limits liability for fraud, death or personal injury, or anything that cannot be limited by law.

10. Changes to these terms

We may update these terms. For material changes we email account owners at least 30 days before they apply. Continuing to use the service after that date means you accept the new terms.

11. Law and disputes

These terms are governed by the laws of England and Wales. Before going to court, both sides agree to try to resolve a dispute by contacting the other at the addresses on file. The courts of England and Wales have jurisdiction, without affecting mandatory rights that apply where you are established.
